Viridis Learning, Inc. (“Viridis,” “we,” “us,” or “our”) values your privacy. In this Privacy Policy (“Policy”), we describe how we collect, use, and disclose information that we obtain about visitors to our website (the “Site”), users of our mobile Application (the “App”) and the services available through our Site and App (collectively, the “Services”), and how we use and disclose that information.

By visiting the Site, using or downloading the App, or using any of our Services, you agree that your personal information will be handled as described in this Policy. Your use of our Site, App, or Services, and any dispute over privacy, is subject to this Policy and our Terms of Service, including its applicable limitations on damages and the resolution of disputes. The Viridis Terms of Service are incorporated by reference into this Policy.

The Information We Collect About You

We collect information about you directly from you and from third parties, as well as automatically through your use of the Services. We will collect store and process information about you only as necessary to provide our Services.

Information We Collect Directly From You. The information that we collect from you depends on your interaction with our Services. We collect information from you when you register to use our Services, and communicate with us. The information required to register an account with us depends on what type of user you are. If you are an administrator at one of our educational institution partners, you must provide your name and email address; we may also ask for the name of your institution and your title. If you are a student user, you must provide your name, email address, college, phone number, zip code, and additional information to register your account; once you have created your account, we will collect your location, job preference and your work and course experience, and may collect additional optional information.

Information We Collect From Third Parties. We also collect information about from your educational institution and other third party sources. For example, your educational institution may provide us with your name, contact and degree information to set up your account for the Services or to permit us to contact you to create an account. We also collect information from actual and potential employers. For example, if you obtain a position with an employer through the Services, we will collect certain information from that
employer about your position, such as position title, salary, start date, end date and promotion details, where relevant.

Information We Collect Automatically. We automatically collect information about your use of our Services through cookies, web beacons, and other technologies, including technologies designed for mobile apps. This information includes domain name, browser type, operating system, IP address, referring URL, page views, link click and other activities on the Services, date and time stamps, device identifiers, language information, and location data. We combine this information with other information we collect about you. Please see the section “Cookies and Other Tracking Mechanisms” below for more information.

How We Use Your Information

We use your information, including your personal information, for the following purposes:

(a) To help you track your skills development and educational goals.

(b) To identify potential employment opportunities based on your skill sets and experience.

(c) To provide our Services to you, to communicate with you about your use of our Services, to respond to your inquiries, to fulfill your orders, and for other customer service purposes.

(d) To tailor the content and information that we may send or display to you, to offer location customization, and personalized help and instructions, and to otherwise personalize your experiences while using the Site, App, or our Services.

(e) With your permission, to communicate with you via text message about the Services (including job postings and other employment information).

(f) To send you news, information and related to the Service, or to otherwise contact you about school or job- related information.

(g) To better understand how users access and use our Site, App, and Services, both on an aggregated and individualized basis, in order to improve our Site, App, and Services and respond to user desires and preferences, and for other research and analytical purposes.

(h) To comply with applicable legal obligations, including responding to a subpoena or court order.

(i) Where we believe it is necessary to investigate, prevent or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person or violations of our Terms of Use or this Policy.

(j) We will not use your information: (a) to market or advertise to students and/or the parents/guardians of students; (b) to inform, influence or enable marketing, advertising or other commercial enterprises of third parties except for those offered by our services; (d) analyzing or mining my information for any purpose except for delivering our Services or (e) if the Family and Educational Rights and Privacy Act (FERPA) applies to any of your information, we will not use your information in violation of FERPA or FERPA regulations.

How We Share Your Information

We do not sell your personal information to third parties. We may, in accordance with applicable law, disclose your information, including personal information, as follows:

(a) Other Students.The Services allow you to lookup other student at your school by name and add them as a contact, so that you may communicate with them via the Services, send them calendar invites, and otherwise share information with them via the Services.

(b) Educational Institutions. We will disclose information with educational institutions that partner with us. For example, we may share information about that institution’s student users’ skill and goal progression, and employment opportunities student users are pursuing; we may also share with schools the information that we receive from employers, including, with respect to any positions you are hired for through the Services, position title, salary, start date, end date and promotion details.

(c) Prospective Employers. If you apply for or express interest in certain positions or job opportunities through the Services, we will disclose information about you to prospective employers who may use the information to consider you for employment opportunities.

(d) Affiliates. We may disclose the information we collect from you to our affiliates or subsidiaries; however, if we do so, their use and disclosure of your personally identifiable information will be subject to this Policy.

(e) Service Providers. We may disclose the information we collect from you to third party vendors, service providers, contractors or agents who perform functions on our behalf. We will provide you with the names of third party vendors, service providers, contractors or agents performing functions on our behalf upon your request to the extent possible. All third party vendors, service providers, contractors or agents performing functions on your behalf are subject to and required to comply with the terms of this Privacy Policy.

(f) Business Transfers. If we are acquired by or merged with another company, if substantially all of our assets are transferred to another company, or as part of a bankruptcy proceeding, we may transfer the information we have collected from you to the other company. Transfer of your information to another company pursuant to the foregoing is subject to all terms of this Privacy Policy.

(g) In Response to Legal Process. We also may disclose the information we collect from you in order to comply with the law, a judicial proceeding, court order, or other legal process, such as in response to a court order or a subpoena.

(h) To Protect Us and Others. We also may disclose the information we collect from you where we believe it is necessary to investigate, prevent, or take action regarding illegal activities, suspected fraud, situations involving potential threats to the safety of any person, violations of our Terms of Use or this Policy, or as evidence in litigation in which Viridis is involved.

(i) Aggregate and De-Identified Information. We may share aggregate or de-identified information about users with third parties for marketing, advertising, research or similar purposes.

Our Use Of Cookies And Other Tracking Mechanisms

We and our third party service providers use cookies and other tracking mechanisms to track information about your use of our Site, App, or Services. We may combine this information with other personal information we collect from you (and our third party service providers may do so on our behalf).

Cookies. Cookies are alphanumeric identifiers that we transfer to your computer’s hard drive through your web browser for record-keeping purposes. Some cookies allow us to make it easier for you to navigate our Services, while others are used to enable a faster log-in process or to allow us to track your activities. Most web browsers automatically accept cookies, but if you prefer, you can edit your browser options to block them in the future. The Help portion of the toolbar on most browsers will tell you how to control cookies. Visitors to our Site who disable cookies will be able to browse certain areas of the Site, but some features may not function.

Clear GIFs, Pixel Tags and Other Technologies. Clear GIFs are tiny graphics with a unique identifier, similar in function to cookies. In contrast to cookies, which are stored on your computer’s hard drive, clear GIFs are embedded invisibly on web pages. We may use clear GIFs (a.k.a. web beacons, web bugs or pixel tags), in connection with our Site, App, and Services to, among other things, track the activities of Site visitors and App users, help us manage content, and compile statistics about Site and App usage. We and our third party service providers also use clear GIFs in HTML emails to our customers, to help us track email response
rates, identify when our emails are viewed, and track whether our emails are forwarded.

Third Party Analytics. We use automated devices and applications, such as Google Analytics to evaluate usage of our Site and, to the extent permitted, our App. We also may use other analytic means to evaluate our Services. We use these tools to help us improve our Services, performance and user experiences. These entities may use cookies and other tracking technologies to perform their services.

Do-Not-Track.  Currently, our systems do not recognize browser “do-not-track” requests. You may, however, disable certain tracking as discussed in this section (e.g., by disabling cookies); you also may opt-out of targeted advertising by following the instructions in the Third Party Ad Network section.

Third-Party Links

Our Site, App, and Services may contain links to third-party websites. Any access to and use of such linked websites is not governed by this Policy, but instead is governed by the privacy policies of those third party websites. We are not responsible for the information practices of such third party websites.

Security of My Personal Information

We have safeguards to protect the information we collect from loss, misuse, and unauthorized access, disclosure, alteration, use and destruction. We will collect process and store information necessary to provide our Services in accordance with the most current NIST data security standards and industry best practices. We will maintain and update our technologies, policies, procedures and practices necessary to secure and protect confidentiality and integrity of information and to prevent unauthorized access, disclosure, alteration, use, or destruction of your information to the best of our ability.

Please be aware that no data security measures can guarantee 100% security. You should take steps to protect against unauthorized access to your password, phone, and computer by, among other things, signing off after using a shared computer, choosing a robust password that nobody else knows or can easily guess, and keeping your log-in and password private. We are not responsible for any lost, stolen, or compromised passwords or for any activity on your account via unauthorized password activity.

Access to My Personal Information

You may modify personal information that you have submitted by logging into your account and updating your profile information. Please note that copies of information that you have updated, modified or deleted may remain viewable in cached and archived pages of the Site or App for a period of time. Please note that we
are unable to update any information that we previously disclosed to a third party, such as a potential employer.

What Choices Do I Have Regarding Marketing Communications?

We may send periodic promotional or informational emails to you. You may opt-out of promotional emails by following the opt-out instructions contained in the email. Please note that it may take up to 10 business days
for us to process opt-out requests. If you opt-out of receiving promotional emails, we may still send you emails about your account or any Services you have requested or received from us.

Children Under 13

Our Services are not designed for children under 13. If we discover that a child under 13 has provided us with personal information, we will delete such information from our systems.
